Welcome to the PersonaLine.ai Terms of Service agreement. The terms “PersonaLine.ai”, “PersonaLine,” “the Company,” “we,” “us,” and “our” refer to our Company. The terms “the Partner,” “client,” “you,” and “your” refer to your Company.

The following Terms of Service apply when you sign this agreement. The signer must be the business owner or an authorized person within your company that is able to enter into this agreement. These Terms of Service will also apply to any other persons in your Company that communicate with us.

Please review the following terms carefully. By signing, you signify your agreement to these Terms of Service. If you do not agree to be bound by these Terms of Service in their entirety, you are not eligible for services provided by PersonaLine.ai. Below you will find the services rendered for individual services provided by PersonaLine.ai respectively. These are all different services, in no way, shape, or form does this indicate that all services will be provided in any agreement.

1. Permissions Granted in Connection with Services:

a. To effectively render our services, PersonaLine.ai is granted the right by the partner to utilize previous content, information furnished through forms, social media content, copy, scripts, and other materials provided. This content is exclusively utilized for the benefit of the partner and will not be shared with any other clients or partners.

2. Additional Terms Related to Services:

PersonaLine.ai will provide management services and support in running AI-powered voice call agents for said partner. There is no guarantee of results or scalability. The partner is responsible for launching, managing, and running their business backend effectively.

PersonaLine.ai will also provide partner support and reports as needed. These calls are to provide overall guidance and strategy, and the partner is solely responsible for any advice they decide to action and any given outcome. PersonaLine.ai is not liable if the partner takes action that results in a decline in business revenue, legal liability, or any other actions that may negatively impact the partner’s business.

3. Development of Scripting Copy and AI Agents:

PersonaLine.ai, working in conjunction with the partner, may assist in developing scripts and other content to be utilized in the partner’s business. It is the partner’s responsibility to review all facts, representations, and any legal claims in such scripts for accuracy. The partner is ultimately responsible for any claims in copy, even if written by PersonaLine.ai, that may breach local, state, or federal laws.

4. Third-Party Software and Content Licenses:

The partner shall be solely responsible for the maintenance of all software and other third-party content licenses. PersonaLine.ai will notify the partner in advance of any new or additional licenses required to provide the services.

5. Intellectual Property:

All intellectual property developed by PersonaLine.ai, including AI configurations, scripts, and related content, remains the sole property of PersonaLine.ai unless explicitly stated otherwise. Upon full payment, the partner may receive a license to use these deliverables.

6. Confidentiality:

Both PersonaLine.ai and the partner agree to maintain the confidentiality of each other’s proprietary information. This includes all trade secrets, business plans, and client lists shared during the course of this agreement.

7. Limitation of Liability:

PersonaLine.ai is not liable for any indirect, incidental, or consequential damages arising from the use of its services. The total liability of PersonaLine.ai is limited to the fees paid by the partner for the services provided within the last 12 months.

8. Termination:

Either party may terminate this agreement with a 30-day written notice. Upon termination, PersonaLine.ai will cease providing services, and any outstanding fees must be settled within 30 days of the termination date.

9. Governing Law:

This agreement shall be governed by the laws of the State of Florida, and any disputes arising from this agreement will be resolved in the courts of Florida.

10. Force Majeure:

PersonaLine.ai shall not be held liable for delays or failures in performance due to causes beyond its reasonable control, including acts of God, natural disasters, or governmental actions.

By signing below, you acknowledge that you have read, understood, and agree to these Terms of Service.

11. Indemnification:

The partner agrees to indemnify and hold harmless PersonaLine.ai, its affiliates, and its respective employees and agents from any claims, damages, liabilities, costs, and expenses (including reasonable attorney's fees) arising out of or related to the partner's use of the services, breach of this agreement, or violation of any law or rights of a third party.

12. Data Protection and Privacy:

Both parties agree to comply with all applicable data protection and privacy laws, including the General Data Protection Regulation (GDPR) where applicable. PersonaLine.ai is committed to safeguarding the privacy of the partner's data and will not share or sell this data to any third parties without express consent, except as required by law.

In the event of a data breach, both parties are required to notify each other immediately and take appropriate measures to mitigate any damage caused by the breach.

13. Service Availability and Maintenance:

PersonaLine.ai strives to provide continuous, uninterrupted access to its services. However, the company reserves the right to perform scheduled maintenance, which may temporarily affect service availability. PersonaLine.ai will make every effort to notify the partner in advance of any planned maintenance.

14. Modifications to Terms:

PersonaLine.ai reserves the right to modify these Terms and Conditions at any time. Any changes will be communicated to the partner via email or through the platform. Continued use of the services after such modifications will constitute the partner’s acceptance of the updated terms.

15. Entire Agreement:

These Terms and Conditions, together with any applicable service agreements, represent the entire agreement between PersonaLine.ai and the partner, superseding any prior agreements or understandings, whether written or oral.

16. Severability:

If any provision of these Terms and Conditions is found to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions shall remain in full force and effect.

17. Non-Waiver:

Failure by PersonaLine.ai to enforce any right or provision of these Terms and Conditions shall not constitute a waiver of such right or provision.
